1. Agreement to Terms

Welcome to ResAlign AI. These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and ResAlign AI, Inc. ("ResAlign," "we," "us," or "our") governing your access to and use of the ResAlign platform, including our website at resalign.com, mobile applications, and all related services (collectively, the "Service").

By creating an account, accessing, or using our Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use the Service.

2. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use our Service. By using ResAlign, you represent and warrant that you meet these eligibility requirements. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

3. Description of Service

ResAlign provides an AI-powered career alignment platform that analyzes resumes and job descriptions to provide compatibility scores, skill gap analysis, personalized learning recommendations, and career roadmaps. Our Service uses artificial intelligence and machine learning technologies to process and analyze the documents and information you provide.

The Service may include, but is not limited to:

• Resume-to-job description compatibility analysis
• Multi-dimensional fit scoring across skills, experience, education, achievements, and culture fit
• Skill gap identification and analysis
• Personalized learning resource recommendations
• Career roadmap generation
• Job description management and tracking
• Company research and insights

5. User Accounts

To access certain features of the Service, you must create an account. When creating an account, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security and confidentiality of your login credentials
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized access or use of your account

We reserve the right to suspend or terminate your account if any information provided is inaccurate, false, or violates these Terms.

6. User Content and Data

6.1 Your Content

You retain ownership of all content you upload, submit, or provide to the Service, including resumes, job descriptions, and other documents ("User Content"). By providing User Content, you grant ResAlign a limited, non-exclusive, worldwide, royalty-free license to use, process, store, and analyze your User Content solely for the purpose of providing and improving the Service.

6.2 Content Responsibilities

You represent and warrant that:

• You own or have the necessary rights to submit your User Content
• Your User Content does not infringe upon the intellectual property or privacy rights of any third party
• Your User Content is accurate and truthful to the best of your knowledge
• Your User Content does not contain malicious code, viruses, or harmful components

6.3 Data Processing

To provide our Service, we process your User Content using AI and machine learning systems. This includes sending sanitized versions of your data (with personally identifiable information masked) to third-party AI services for analysis. 7. Acceptable Use Policy

You agree not to use the Service to:

• Violate any applicable laws, regulations, or third-party rights
• Upload content that is false, misleading, defamatory, or fraudulent
• Impersonate any person or entity or misrepresent your affiliation
• Attempt to gain unauthorized access to the Service or its systems
• Interfere with or disrupt the Service or servers
• Use automated means (bots, scrapers) to access the Service without permission
• Reverse engineer, decompile, or attempt to extract source code
• Use the Service to develop competing products or services
• Upload content containing malware, viruses, or harmful code
• Harass, abuse, or harm other users
• Use the Service for any illegal or unauthorized purpose

8. Intellectual Property

The Service, including its original content, features, functionality, design, and underlying technology (excluding User Content), is owned by ResAlign and is protected by copyright, trademark, patent, trade secret, and other intellectual property laws. Our trademarks, service marks, and logos may not be used without our prior written consent.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial purposes in accordance with these Terms.

9. Fees and Payment

ResAlign offers both free and paid subscription plans. If you choose a paid plan:

• You agree to pay all applicable fees as described at the time of purchase
• Fees are billed in advance on a recurring basis (monthly or annually)
• All fees are non-refundable except as required by law or as explicitly stated
• We reserve the right to change pricing with reasonable notice
• Failure to pay may result in suspension or termination of your account

12. Indemnification

You agree to defend, indemnify, and hold harmless ResAlign and its officers, directors, employees, contractors, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Service, including but not limited to your User Content, any use of the Service other than as expressly authorized in these Terms, or your use of any information obtained from the Service.

13. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination:

• Your right to use the Service will immediately cease
• We may delete your account and User Content
• Provisions that by their nature should survive termination will survive (including ownership, warranty disclaimers, indemnification, and limitations of liability)

You may terminate your account at any time by contacting us or using the account deletion feature in your settings.

14. Dispute Resolution

14.1 Informal Resolution

Before filing a claim, you agree to try to resolve the dispute informally by contacting us at legal@resalign.com. We will attempt to resolve the dispute informally within 60 days.

14.2 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

14.3 Jurisdiction

Any legal action or proceeding arising out of or relating to these Terms shall be brought exclusively in the federal or state courts located in Delaware, and you consent to the personal jurisdiction of such courts.

15. Changes to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by email or by posting a notice on the Service prior to the changes becoming effective. Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes.

16. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions will continue in full force and effect. The invalid or unenforceable provision will be modified to the minimum extent necessary to make it valid and enforceable.

17. Entire Agreement

These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and ResAlign concerning the Service and supersede all prior or contemporaneous communications, proposals, and agreements, whether oral or written.
